To align with the large-scale expansion of the CoinUp ecosystem, optimize the tokenomics framework, connect the value loop across Alpha Ecosystem, AI Infrastructure, U Card Payments, Prediction Markets, Tokenized U.S. Stocks, and other core business sectors, and further enhance the value-capturing capability of the platform's native token, the CoinUp Project Team and Governance Committee have officially approved the upgrade of CP to the new platform token CPX.

CPX is not merely a replacement for CP. It represents a comprehensive transformation from a traditional exchange platform token into a powerful ecosystem-wide value engine. Every business module within the CoinUp ecosystem will be deeply integrated with CPX, forming a sustainable cycle of utility, consumption, incentives, and value accrual.

As part of this ecosystem-wide strategic upgrade, CPX, the new core utility and value token of the CoinUp ecosystem, will officially launch on June 9, 2026 (UTC+8). The details of the upgrade, conversion mechanism, and timeline are outlined below.

I. Upgrade Overview & Strategic Background

Since its launch, CP has served as CoinUp's native platform token, providing users with benefits such as trading fee discounts, governance voting rights, and ecosystem mining incentives.

As CoinUp continues to expand its business ecosystem—including the launch of the CoinUp Alpha Ecosystem, AI Agent infrastructure, U Card payment services, Prediction Markets, and Tokenized U.S. Stocks—the existing CP tokenomics model and utility framework are no longer sufficient to support value circulation across the entire ecosystem. The current value-capture mechanism is unable to fully reflect the platform's rapid growth and diversified business expansion.

To establish a sustainable and healthy token economy that enables ecosystem revenues to continuously empower token value while allowing the token to drive ecosystem growth, CoinUp is officially initiating the strategic upgrade from CP to CPX.

CPX will evolve beyond the role of a traditional exchange token and become the core value token of the entire CoinUp ecosystem. All major business sectors and ecosystem revenues will be deeply connected to CPX, creating a deflationary and sustainable economic model designed to support long-term ecosystem development.

II. Five Core Ecosystem Value Drivers of CPX

Following the upgrade, CPX will serve as the foundational token powering the CoinUp ecosystem, supported by five major business sectors:

1. CoinUp Alpha Ecosystem

All products, ecosystem activities, and incentive mechanisms within the Alpha ecosystem will utilize CPX as the primary utility and settlement token.

2. CoinUp Prediction Market

Trading fee sharing, staking participation, and reward distributions within CoinUp Prediction will be fully integrated with CPX.

3. CPX AI Token Market Infrastructure

AI-related token trading, project incubation programs, and ecosystem incentive mechanisms will operate based on CPX.

4. CoinUp U Card Payment Ecosystem

U Card top-ups, fee discounts, exclusive privileges, and reward redemption programs will be available exclusively to CPX holders.

5. Platform Revenue Buyback & Burn Mechanism

CoinUp will periodically allocate a portion of platform profits from all business sectors to repurchase CPX from the secondary market and permanently burn the acquired tokens, continuously reducing circulating supply and strengthening long-term token value.

III. CP → CPX Conversion & CPX Launch Schedule (UTC+8)

Phase 1: User Decision Window

June 5, 2026, 12:00 – June 7, 2026, 20:00

During the decision window, CP holders may choose one of the following options:

1. Option A: Sell CP on the Secondary Market

Users may freely sell their CP holdings at market price and exit their positions without restrictions.

2. Option B: Retain CP Holdings

CP holdings retained until the end of the decision window will automatically qualify for conversion into CPX at a ratio of 1 CP = 1.2 CPX, including a 20% loyalty holding bonus.

Supporting Risk-Control Measures

Effective immediately upon announcement publication:

• The CP market will remain open for sell orders only;
• New buy orders will be disabled;
• CoinUp will activate a price stabilization mechanism to mitigate irrational market volatility caused by concentrated selling pressure;
• Comprehensive measures will be implemented to safeguard user assets and provide sufficient time for informed decision-making.

Phase 2: Automatic Conversion Execution

After June 7, 2026, 20:00

1. Any CP remaining unsold after the decision window closes will be automatically converted into CPX.
2. Conversion ratio: 1 CP = 1.2 CPX
3. The additional 0.2 CPX allocation represents a platform loyalty incentive designed to reward long-term holders.
4. All converted CPX will be deposited into a locked account and released according to the official vesting schedule.

Phase 3: Official Launch of CPX

20:00, June 9, 2026

The upgraded ecosystem token CPX will officially launch on CoinUp at 20:00 (UTC+8) on June 9, 2026.

Following launch, trading functionality and all associated ecosystem utility features will be gradually enabled.

Unlocked CPX tokens will be fully transferable and tradable on the secondary market and will qualify holders for all corresponding VIP privileges and ecosystem benefits.

IV. CPX Unlocking Schedule

All converted CPX will follow a linear vesting mechanism:

• Week 1 – Week 16: 3% of the total allocated CPX unlocked weekly;
• Week 17 onward: 5% of the total allocated CPX unlocked weekly until full release.

All unlocked CPX will immediately become fully circulating assets with no restrictions on trading, transfers, or ecosystem utility participation.

V. Important Notes

1. Users are encouraged to carefully manage their holdings and make appropriate decisions during the designated decision window.
2. All conversion and token release processes will be executed automatically by the system. No manual application is required.
3. All conversion records and token release data will remain publicly verifiable and transparent.
